Five ways for trading unlisted shares in India

An unlisted company is one that is not listed on any formal stock exchange. However, shares of these company are sometimes available for trade on over-the-counter (OTC) markets. Examples of unlisted companies in India being traded in the OTC markets include: Swiggy, Oyo, Serum, CSK, Reliance Retail etc.  Previously, unlisted investment could only be accessed by big banks, hedge funds, private equity companies etc. However, today since shares are available in dematerialised format and there is much more awareness about the financial industry, it is possible for any investor to invest in trading unlisted shares. Today we will discuss some of the commons ways investors can trade in unlisted shares in India.

Pre-IPO Funds

The first way we can invest in unlisted shares is to invest via Pre-IPO funds. Pre-IPO funds specialise in investing in companies that are currently unlisted but will soon get listed on a formal exchange. Pre-IPO Funds pool money from investors and give them an opportunity to invest in companies before they go public at lower valuations and then to reap rewards of the post-IPO valuation. These funds are often availed by prominent retail investors, HNI’s and large family offices. The first AMC to come with dedicated Pre-IPO funds is IIFL AMC. As per information, they are managing Rs 10,000 crore in pre IPO funds, with returns in the range of 10%-15%. Recently, Kotak Investment Advisors also raised Rs 2000 Crore in their Kotak pre-IPO Opportunities Funds. 

Portfolio Management Services or Alternative Investment Funds

Another way to buy unlisted stocks as an investment is to avail Portfolio Management Services (PMS) or Alternate Investment Funds (AIF). These funds are professionally managed investment portfolios backed by extensive due diligence by a team of highly qualified research analysts. These portfolios are actively managed so that they are always adapting to market trends and performances. Investors can invest in PMS or AIF that specialise in unlisted shares. There is less risk via this route due to (i) thorough research (ii) professional management (iii) diversification of capital.

Intermediaries

There are intermediaries likebrokerage firms and wealth management firms that specialise in investing in the unlisted space. Investors can open a DEMAT account with these intermediaries and carry out the transaction through them. The payment gets completed upfront, and the delivery is done in T+3 days. Due to lack of official regulation in the unlisted space, there is counterparty risk involved. Counterparty risk is if the payment is made, however the delivery of the shares is not completed successfully. However, if the intermediary is of reputable name, the counterparty risk involved is minimised.

Employee Stock Ownership Plan

Some large-scale organisations offer their employees stock options known as ESOPs whereby employees get equity ownership in the Company. These ESOPs allow employees to buy the Company's shares at a prespecified rate and after a predefined period. If the employees wish to redeem or sell off their unlisted shares holding, investors can purchase unlisted equity from them.

Private Placement

Private placement is where promoters of a Company want to liquidate their own stake in the Company and therefore put their equity ownership up for sale. Usually, this process is carried out by wealth managers or intermediaries. This route allows investors to trading unlisted shares and to achieve a significant stake in the Company as promoters generally have high ownership percentage with them.

IPL is one of the biggest sporting events happening all across the world. Started in the year 2008, this league has completed a total of 12 seasons so far. They have qualified into the playoffs in the seasons 2011, 2016, 2017 and in 2018. Also, KKR holds the record for having the greatest number of consecutive wins in IPL. They have won a total of 14 matches in a row, without losing a match. KKR has played a total of 182 matches out of which the team won 92. They have a winning percentage of 51.6%.

4.  Rajasthan Royals:

Rajasthan Royals is one of the most successful teams in IPL history. Under the captaincy of Shane Warne, the team won the IPL title in the year 2008, which is the inaugural season of IPL. Later on, the best performance that has come out of the team is the 3rd position in the year 2013. Apart from that, the team has also played in the playoffs of the 2015 and 2018 seasons.

5.  SunRisers Hyderabad:

SRH was introduced to the IPL replacing Deccan Chargers Hyderabad. Even though they don’t have a great number of victories to showcase, this team is considered as one of the best in IPL history. Shreyas Iyer Personal Life

There’s a touch of middle-class realism to Shreyas Iyer’s tale! Shreyas Iyer was born in Mumbai to Santosh Iyer and Rohini Iyer on the 6th of December, 1994. Iyer’s father noticed his cricketing talent and helped him nurture it. Santosh, a businessman who used to work from home at the time, was instrumental in Shreyas choosing cricket over football.

Pravin Amre, a student of the legendary coach Ramakant Achrekar, spotted Iyer at the heart of Mumbai’s local cricket hub- Shivaji Park Gymkhana at the age of 12. Amre noticed a boy hardly even in his teenage years, was timing strokes of the front and back foot twice his height and nailing cover drives and pulls.

Iyer’s teammates at the age-group levels compared him to Virender Sehwag. After early education, Iyer went on to complete his graduation from Podar College in Mumbai. He represented the college team and lifted various trophies.

Shreyas Iyer Career

A 20-year-old Iyer joined Clifton Village Cricket Club of the Clifton University in Nottingham and was the youngest player in the side. Ironically, Iyer had not played a single first-class match. All he had was the 67-ball 109 vs Australia U-19 and three matches in the U-19 Cricket World Cup, in which he had scored 161 runs.

Iyer was Living alone in a foreign country with completely different weather conditions. However, he did not disappoint. Iyer played 3 games scoring 297 runs at an average of 99. Furthermore, he broke the team’s record with the highest score of 171.

Apart from playing for India and Delhi Capitals, Shreyas Iyer has played for India U19, West Zone, Mumbai, India A, Indian Board President’s XI, India B, Mumbai Cricket Association XI, India Blue, India Green, Board President’s XI, Rest of India and NaMo Bandra Blasters.

Domestic Career

Shreyas Iyer returned to India and joined the Mumbai Ranji team in November 2014. He made his List-A debut in the 2014-15 Vijay Hazare Trophy.

In the first season, Iyer scored 273 runs in 6 matches at an average of 54.60 and a strike rate of 92.85. His highest score in the tournament was 105*. Iyer finished as the 14th highest run-scorer in the tournament and 2nd highest run-scorer in the Mumbai team.

Following his good performances in the tournament, Iyer made his debut in Ranji Trophy next month. He continued growing as he scored 809 runs in 10 matches at an average of 50.56 and high score of 153.

He finished as the highest scorer for Mumbai and the 6th highest scorer of the Ranji season. His vital contribution helped Mumbai reach the quarterfinals of Vijay Hazare and the semifinals in the Ranji.

In the following season, Iyer performed even better, He scored 1,321 runs in the 2015-16 Ranji season. Iyer hit 4 centuries and 7 half-centuries with an average of 73,39. He ended the season as the top-scorer and became the second player to score over 1,300 runs in a Ranji season.

In the same season, Iyer played crucial innings of 95 for Mumbai against the Railways. After the match, Rohit Sharma praised him.

“I had heard from people in our (Mumbai) dressing room that he’s been in good nick. I’m glad about the way he is batting. I was enjoying it from the other end. He reminded me of Sehwag a little bit because that’s how he used to bat. He batted pretty well. Whatever he’s been doing of late, it’s pretty good to see that,” the Hitman said.

Iyer continued to perform consistently in domestic cricket. The 2016-17 Ranji season saw him score 725 runs at an average of 42.64 a scored 2 centuries and 2 half-centuries. His highest first-class score came while playing for Mumbai against Australia. Iyer played an unbeaten inning of 202 in the 3-day practice test.

By September 2018, Iyer was named the vice-captain of the Mumbai Vijay Hazare tournament. Leading as an example, Iyer scored 373 runs and finished as the top scorer as Mumbai lifted the title for the third time.

The young batsman continued his good form in the 2018-19 Syed Mushtaq Ali Trophy. He scored 147 and became the highest total scored by an Indian in a T20 match.

IPL Career

Iyer’s performances in the 2014-15 domestic season caught eyes, including that of Indian Premier League teams. In February 2015, Delhi Daredevils purchased him for a whooping ₹2.6 crores. The young batsman became the highest-earning uncapped player of IPL 8.

Shreyas was a light of hope in a dull season for DD. Iyer finished the tournament with 439 runs in 14 matches at an average of 33.76 and strike rate of 128.36. He was also announced as the emerging player of the year.

However, Iyer was not able to build on his promises in the next IPL.Iyer player only 6 matches, scoring a paltry 30 runs with a disappointing average of 5. Delhi continued disappointing as they failed to qualify for the playoffs.

Shreyas Iyer hit back with strong performances in 2017 leading him to be appointed as the captain in the 2018 IPL season. At 23 years and 142 days, Iyer became the youngest captain in the Delhi Daredevils history.

Debuting as a captain against the Kolkata Knight Riders, Iyer smashed an unbeaten knock of 93 in just 40 balls as DD won their match. As Ravindra Jadeja slammed the ball for a six, little did everyone know that it would be the last time Chennai Super Kings would get to celebrate a victory at the Chepauk stadium in the latest iteration of the Indian Premier League. Days later, it was confirmed that CSK will play its remaining home games in Pune. The protests over the Union government’s inaction over sharing of Cauvery river waters had already seen calls for boycott of the match against Kolkata Knight Riders. As the threat perception grew more serious in the police’s eyes, CSK was asked to find a new home.

Ironically, the build-up to this campaign for the ‘Yellow Army’ was dominated by the narrative of return. After spending the last two years in suspension due to team official Gurunath Meiyappan’s involvement in betting, CSK’s comeback was eagerly awaited. Particularly by its loyal fan base which gave short shrift to the accusations of spot-fixing and conflict of interest. Rather, the supporters felt unfairly targeted.

CSK has always prided itself on the manic support it seems to attract. The uncritical adoration has been carefully nurtured by the franchise. Arguably, no other IPL side can boast of such loyalty. It began with the charges of auction-fixing (2009) and then moved on to betting and conflict of interest in CSK’s ownership model. Moreover, Chennai has not been an entirely hospitable venue to the IPL. The ban on Sri Lankan players and officials is still fresh in memory while three stands at the Chepauk stadium have remained shut since 2012. Yet, the bumps in the road have not dimmed the enthusiasm of the CSK faithful.
